Terms of Service and User Agreement

1. Acceptance of Terms

By connecting your wallet, email or social-media account, or by participating in any campaign through the dApp, you confirm that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and Disclaimer.

If you disagree with any part of these Terms, do not use the dApp. Use constitutes binding acceptance.

By connecting your wallet and X account, you also confirm that you are over 18 years of age and agree to these Terms and the Privacy Policy.

2. Eligibility

  • You must be 18 years or older (or the legal age in your jurisdiction).
  • You must not reside in any restricted or sanctioned territory.
  • You participate in a professional or business capacity, not as a consumer.
  • You are solely responsible for local law and tax compliance.

3. Nature of Service

CULTD is a Web3 marketing and analytics technology provider.

We supply automated engagement, scoring and leaderboard tools for third-party projects (“Clients”) that reward community participation.

CULTD does not

  • issue, hold, or manage any tokens or rewards on behalf of Clients or users;
  • guarantee any payments or results;
  • provide financial, investment, or legal advice;
  • act as broker, custodian, fiduciary, or employer.

All campaign funding and reward fulfillment are the sole responsibility of the third-party project.

4. User Responsibilities

You agree to:

  • participate voluntarily and at your own risk;
  • perform due diligence on any project before joining;
  • verify that participation and token receipt are lawful where you live;
  • accept that campaigns are run by third parties, not CULTD;
  • remain responsible for your own content, statements, and conduct;
  • avoid spam, manipulation, or unlawful activity.

5. Rewards, Tokens & Campaigns

  1. Third-Party Rewards. All rewards and tokens are provided solely by third-party projects. CULTD does not issue, hold, or guarantee any rewards, tokens, or payments.
  2. Beta Notice. The dApp operates in Beta stage; features and reward logic may change or malfunction without notice. Use at your own risk.
  3. Utility Only. Tokens earned through campaigns are for community engagement purposes only and are not securities, investments, or financial instruments.
  4. No Guarantee. Participation does not ensure any payment, allocation, or result.
  5. Merit-Based Participation. No purchase or payment is required to participate. Rewards are merit-based, not chance-based.
  6. Appeals. If you wish to appeal a scoring or reward outcome, contact team@getcultd.com.
  7. Neutrality. CULTD does not endorse or promote any token or project. All opinions expressed by participants are their own.

6. Scoring and Allocation

  • Scores are generated automatically by the CULTD Engine based on engagement, authenticity, and relevance.
  • Results are final except in cases of manifest technical error.
  • CULTD has no obligation to disclose raw data or modify calculations.
  • Scores are algorithmic and impartial, no human bias applies.

Algorithmic Transparency. Users may request manual review at team@getcultd.com.

7. Risk Disclosure & No Financial Remedy

  • Digital assets are volatile. Campaigns or tokens may lose value or change at any time.
  • Network, API, or third-party platform failures can affect results.
  • CULTD assumes no duty of care for uptime, scoring accuracy, or campaign performance.
  • Because access to the dApp is free, CULTD provides no refunds, warranties, or compensation.
  • Your sole remedy for any issue is to stop using the Service.

8. Voluntary Participation & No Employment or Agency

You participate as a voluntary user, not as an employee, contractor, or agent of CULTD or any Client.

You are free to join or stop participating at any time. CULTD does not control your schedule or methods of engagement. No employment benefits or rights arise.

  • Participation in CULTD campaigns is voluntary, non-exclusive, and does not create any employment, contractor, or partnership relationship with CULTD or any Client.
  • CULTD does not control your activity schedule or content. You are responsible for your own tax obligations related to any rewards earned.

9. No Group or Collective Actions

You waive any right to class, collective, or representative actions against CULTD.

Claims must be individual. If a waiver is unenforceable in your jurisdiction, any claim is limited to individual monetary damages of USD 100 maximum.

10. Limitation of Liability

To the fullest extent permitted by law:

  • CULTD is not liable for indirect, incidental, consequential, or punitive damages.
  • Total aggregate liability shall not exceed USD 100 (or crypto equivalent).
  • The Service is provided strictly “as is” and “as available.”

Beta Disclaimer: Because the dApp operates in Beta, participation data, scoring, and reward logic may change or be lost without notice. CULTD does not warrant uninterrupted or error-free operation.

Fraud & Misconduct Exception. Nothing excludes liability for fraud or intentional misconduct directly proven against CULTD; however, CULTD shall not be liable for indirect or punitive damages unless a court finds intentional wrongdoing.

11. Indemnification

You agree to indemnify and hold harmless CULTD, its officers, and affiliates from any claims or losses arising from:

  • your use of the dApp;
  • violation of laws, rights, or platform rules;
  • disputes about token issuance or reward delivery by projects;
  • regulatory or tax issues linked to your activity.

This obligation survives termination.

12. Data & Privacy

By connecting a wallet or social account, you explicitly consent to data processing as described in our Privacy Policy.

Data may include wallet addresses, social handles, and engagement metrics used for scoring.

You may withdraw consent or request human review at any time via team@getcultd.com.

CULTD cannot erase immutable blockchain records but will delete stored data where possible.

13. No Reliance on Analytics or Scores

Influence Scores, Grinder Scores and analytics are informational only. They are not financial advice or verified data and should not be relied upon for business decisions.

14. Financial & Regulatory Disclaimer

CULTD does not design, issue, or promote tokens as financial products.

Campaigns are community-marketing initiatives, not investment offers.

Projects are solely responsible for the legality and compliance of their campaigns.

Listing a project on CULTD does not imply endorsement, recommendation, or legality.

Users participate at their own risk.

Projects are solely responsible for their own token compliance with financial, securities, and marketing laws. Listing a project does not imply endorsement or legality. Users participate at their own risk. CULTD is a technology platform only and does not solicit token purchases.

15. Intellectual Property

All rights in the CULTD Engine, algorithms, brand, and software belong exclusively to CULTD. No reverse-engineering or derivative works permitted.

16. Dispute Resolution

Governing Law: England & Wales.

Arbitration: Binding arbitration under LCIA Rules, London seat, English language.

No Class Arbitration: Waived.

Emergency Relief: Either party may seek injunctive relief for IP or confidentiality.

Business Use Only. The Service is intended exclusively for business and professional users. Consumers are not permitted to access the dApp. By using it, you confirm you are not a consumer under applicable law.

17. Platform Integrity & Misuse

You agree not to manipulate metrics, use bots, exploit bugs, or attack the infrastructure. CULTD may suspend violators without notice or refund.

18. Amendments

CULTD may modify these Terms at any time. Posting an updated version on its webpage constitutes valid notice. Continued use = acceptance.

19. Severability

If any provision is invalid, others remain in effect.
