Terms of Service and User Agreement

1. Acceptance of Terms
By accessing the CULTD dApp, you agree to these Terms, our Privacy Policy, and our Disclaimer. You explicitly acknowledge that you are participating in a Business-to-Business (B2B) capacity as a professional marketing partner, not as a consumer.
If you disagree with any part of these Terms, do not use the dApp. Use constitutes binding acceptance.
By creating your account, you also confirm that you are over 18 years of age and agree to these Terms, our Privacy Policy, and our Disclaimer.
2. Eligibility
- You must be at least 18 years of age or the legal age in your jurisdiction.
- You must not reside in any restricted or sanctioned territories.
- You participate in a professional or business capacity, not as a consumer.
- You are solely responsible for compliance with local laws and tax obligations related to your professional activity.
3. Nature of Service: Performance Attribution
CULTD provides a Software-as-a-Service (SaaS) platform for scoring, analytics, and performance attribution. CULTD is a technology provider and does not:
- Issue, hold, or manage any financial assets or rewards on behalf of clients.
- Provide financial, investment, or legal advice.
- Act as a broker, custodian, fiduciary, or employer.
- Guarantee specific payments or results from third-party campaigns.
All campaign funding and reward fulfillment are the sole responsibility of the third-party businesses.
4. Reward Mechanism: Time-Weighted TVL (ADB)
4.1. Time-Weighted TVL (ADB) Attribution
For campaigns focused on TVL growth, campaign rewards are merit-based and calculated using the Average Daily Balance (ADB) model to ensure high-quality liquidity attribution.
- 48-Hour Settlement Gate: No rewards or scores are attributed to deposits that remain in a third-party protocol for less than 48 consecutive hours.
- Randomized Snapshots: Attribution is determined by non-deterministic on-chain snapshots taken by the CULTD Engine to prevent platform manipulation.
- Net Retention Scoring: Calculations are based on Net Flow (Total Deposits minus Total Withdrawals) over the campaign duration.
4.2. Acquisition & Signup Attribution
For campaigns focused on User Growth, attribution is strictly limited to "Qualified New Users." A Qualified New User is defined as a unique individual who:
(a) Has no prior account history with the Client; (b) Completes the full registration and verification flow; (c) Meets the "Activity Milestone" (as defined in the specific Campaign Brief).
5. User Responsibilities
You agree to:
- participate voluntarily and at your own risk;
- perform due diligence on any campaign before joining;
- verify that participation is lawful where you live;
- accept that campaigns are run by third parties, not CULTD;
- remain responsible for your own content, statements, and conduct;
- avoid spam, manipulation, or unlawful activity.
6. Platform Integrity & Anti-Gaming
You agree to avoid all forms of manipulation. The following activities will result in immediate disqualification and forfeiture of all vested rewards:
- Recursive Looping: Using borrowed or recycled funds to artificially inflate TVL.
- Wash Trading: Coordinated movements of capital to manipulate ADB scores.
- Sybil Attacks: Operating multiple accounts or bot-nets to simulate organic engagement.
Any attempt to generate "Artificial Signups" via temporary email services, Sybil-wallet generation, or incentivized "click-farms" will result in a permanent platform ban. CULTD utilizes advanced fingerprinting and IP-velocity checks to audit all signup events.
All rights in the CULTD Engine, algorithms, brand, and software belong exclusively to CULTD. No reverse-engineering or derivative works permitted.
7. Scoring and Algorithmic Transparency
Scoring, analytics, and performance attribution are generated automatically by the CULTD Engine based on engagement, authenticity, and verified on-chain or off-chain impact.
- CULTD has no obligation to disclose raw snapshot data or internal weighting.
- Results are final except in cases of manifest technical error.
8. Voluntary Participation & No Employment
Participation in CULTD campaigns is entirely voluntary. Participation does not create an employment, agency, contractor, or partnership relationship with CULTD or any Client. You remain an independent contractor responsible for your own schedule, content, and tax filings. CULTD does not control your content or schedule.
9. Risk Disclosure & No Financial Remedy
- Network, API, or third-party platform failures can affect results.
- CULTD assumes no duty of care for uptime, scoring accuracy, or campaign performance.
- Because access to the dApp is free, CULTD provides no refunds, warranties, or compensation.
- Your sole remedy for any issue is to stop using the Service.

10. Limitation of Liability
To the fullest extent permitted by law:
- CULTD is not liable for network, API, or third-party protocol failures.
- CULTD is not liable for indirect, incidental, or consequential damages.
- CULTD operates in the Beta stage; features and reward logic may change or malfunction without notice. Use at your own risk.
- The Service is provided "as is" and "as available".
- Total aggregate liability for any claim shall not exceed USD 100.
Beta Disclaimer: Because the dApp operates in Beta, participation data, scoring, and reward logic may change or be lost without notice. CULTD does not warrant uninterrupted or error-free operation.
Fraud & Misconduct Exception. Nothing excludes liability for fraud or intentional misconduct directly proven against CULTD; however, CULTD shall not be liable for indirect or punitive damages unless a court finds intentional wrongdoing.
11. Indemnification
You agree to indemnify and hold harmless CULTD, its officers, and affiliates from any claims or losses arising from:
- your use of the dApp;
- violation of laws, rights, or platform rules;
- disputes about reward delivery by third-party businesses;
- regulatory or tax issues linked to your activity.
This obligation survives termination.
You waive any right to class, collective, or representative actions against CULTD. Claims must be individual. If a waiver is unenforceable in your jurisdiction, any claim is limited to individual monetary damages of USD 100 maximum.
12. Data Privacy & Consent Mode
Participants acknowledge that CULTD processes hashed user data for the sole purpose of conversion attribution. In compliance with 2026 global standards, CULTD respects "Global Privacy Control" (GPC) signals. Creators must disclose their use of tracking links in accordance with FTC and GDPR transparency requirements.
13. Financial & Regulatory Disclaimer
CULTD does not design, issue, or promote financial products. Campaigns are performance attribution marketing initiatives, not investment offers. Third-party businesses are solely responsible for the legality and compliance of their campaigns. Listing a campaign on CULTD does not imply endorsement, recommendation, or legality.
Users participate at their own risk.
14. Dispute Resolution
- Governing Law: These terms are governed by the laws of England & Wales.
- Arbitration: All disputes shall be resolved through binding arbitration; class actions are strictly prohibited.
- No Class Arbitration: Waived.
- Emergency Relief: Either party may seek injunctive relief for IP or confidentiality.
- Business Use Only: The Service is intended exclusively for business and professional users. Consumers are not permitted to access the dApp. By using it, you confirm you are not a consumer under applicable law.
15. Platform Integrity & Misuse
You agree not to manipulate metrics, use bots, exploit bugs, or attack the infrastructure. CULTD may suspend violators without notice or refund.
16. Amendments
CULTD may modify these Terms at any time. Posting an updated version on its webpage constitutes valid notice. Continued use = acceptance.
17. Severability
If any provision is invalid, others remain in effect.
